Overview: As a senior manager, the Director of Contract Management is responsible for managing and leading a Contract Management Team that negotiates and administers all SPS contracts. The Contract Management Team is responsible for minimizing SPS' exposure to financial, legal, regulatory and business risk; and ensures compliance and integrity with respect to all contract activities and policy matters. In addition, the Contracts Director is a working manager who leads complex negotiations (including disputes) on behalf of SPS.
Responsibilities: - Supervise Contract Specialists who negotiate and administer Sales Agreements, Confidentiality Agreements, Subcontractor Agreements, Vendor Agreements, Reseller Agreements, Leases, Statements of Work, Letter Agreements, and Software License Agreements.
- Regularly provide training, coaching and mentoring to Sales and Sales Support teams.
- Prepare Risk Assessments and present to approvers (executives) per the SPS Schedule of Authorization. Identify and communicate business issues versus legal matters to assist with Risk Assessments. Make recommendations with respect to potential risks to SPS.
- Draft professional documents and negotiate complex contracts.
- Maintain a working knowledge of legal issues and negotiate directly with customers' attorneys. Use outside counsel as needed.
- Develop contract templates that are consistent with the direction of the business.
- Manage the integration of the contract process for any acquisitions. Perform due diligence and obtain consent to assign contracts if required.
- Update contract templates to be consistent with current business needs and customer feedback.
- Update the SPS Schedule of Authorization and Signature Policy as business needs change.
- Develop team objectives geared toward streamlining contract templates and improving the contract processes.
- Work with other organizations to ensure compliance with customized contract terms.
- Draft professional legal documents.
- Make professional presentations.
- Communicate effectively with executives and all levels of the business.
Qualifications:POSITION REQUIREMENTS
Education: Bachelors Degree, JD a plus
Experience: 5+ years managing a similar team
5+ years with Contracts experience
Plus to have System Integrator or Managed Services experience
Technical Competencies:
- Working knowledge of business communications systems, technology, Managed Services, integrated services, SPS Products and Services, and contract retention processes.
- Significant knowledge of contract law.
- Significant knowledge of Software Licenses.
- Computer literacy; proficiency in all MS Office applications and eSignature technologies.
- Business acumen: knowledge of P/L, breakeven, and ROI.
Personal Competencies:
- Effective negotiating and decision-making abilities, with the ability to identify, evaluate and resolve contract disputes and issues.
- Experienced manager with the ability to lead, provide feedback, and coach subordinates.
- The ability to work effectively with a wide variety of employees (including executives), vendors, and customers, in-person, via telephone, and in writing.
- Ability to work independently and meet deadlines with minimum supervision.

Physical Requirements:
- The position is sedentary and requires keyboard proficiency. The Contracts Director may occasionally stand during presentations.
