THE OPPORTUNITYAs a Corporate Counsel at Xactly Corporation, you'll report to our Chief Financial Officer and directly support Xactly's sales team and several key business functions on behalf of the legal department. Your integral work will involve negotiating a variety of complex business and technology agreements. Candidates should have experience working in a corporate legal or contracts department of a SaaS provider and be comfortable in a fast-paced environment.

You will quickly become a subject matter expert and build relationships with your own set of internal business clients, as well as work directly with vendors and customers. The legal team is very respected and highly regarded in the organization.

We hold a reputation for being creative problem solvers who skillfully and clearly guide risk-based decisions. The annual legal survey of our internal clients often reports that we are the best legal team that they have ever worked with. THE SKILL SET4-6 years of in-house legal experience preferred with consideration of equivalent transactional-based law firm experience, with at least two of those years working at a SaaS based software companyNegotiate technology contracts, including software licenses, software subscription, SaaS subscription, reseller, OEM, professional services, statements of work, maintenance, subcontracting, hardware purchase, and nondisclosure agreementsManage a team comprising NA inside counsel, contract administrator and outside counsel tasked with resolving critical issues and closing open contract terms under quarter-end and year-end deadlinesAnalyze contract terms against industry best practices and company policy, then advise the business unit of the risks and mitigate those risks to achieve business objectivesBe receptive to constructive feedback and able to incorporate learnings therefrom into future projectsJD degree from an ABA-accredited law schoolAdmission to a state bar and in good standing and eligible for in-house corporate counsel or a single client Experience with U.S.

and international software licensing contracts and negotiation processCollaborating with and supporting go-to-market and sales teams in international regions.Familiarity with software contract life cycle from pre-to-post awardCIPP - Privacy certification helpful and Data Processing Agreement negotiation experience preferredAbility to operate autonomously while being a collaborative team player.Demonstrated ability to be proactive, exercise independent judgment, and manage multiple projects simultaneously.

Salary ranges allow for growth opportunities as the employee develops new skills and/or hones current skills. A reasonable range estimate is $154,400 to $193,000 plus the applicable bonus.Applications will be accepted only for those currently residing in the posted country for this role.
